Terms of Service & User Agreement

Effective date: August 5th, 2026 · Last updated: August 5th, 2026

Read this before you use Alongside

These Terms include an important limitation of Alongside's liability (Section 11), a mandatory arbitration clause and class action waiver (Section 15), and confirmation that Alongside is not a medical, legal, or emergency service (Section 5). By creating a profile or otherwise using the app, you agree you've read and accepted all of it, including those sections.

1. Agreement to these terms

These Terms of Service and User Agreement ("Terms") form a binding legal agreement between you ("you" or "user") and CircleRootTech LLC, a Utah limited liability company ("CircleRootTech," "we," "us," or "our"), governing your access to and use of the Alongside mobile application and any related website (together, the "Service"). By downloading, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. By using the Service, you represent that you meet this requirement. The Service is intended for use by adult caregivers organizing information about another person (such as an aging parent) and is not directed at, or intended for use by, children.

3. Description of the Service

Alongside is an informational and organizational tool that helps users track care-related information about an aging family member, including general educational content about aging, a symptom-context feature powered by artificial intelligence, appointment preparation tools, advance care planning checklists and educational content, a caregiver self-check-in feature, and a feature allowing users to share information with family members via their device's native sharing functionality. Features may change, be added, or be removed at any time without notice.

4. Your account and data

The Service does not currently require creating a login account. Information you enter — including care profiles, observations, appointment notes, and check-ins — is stored locally on your device. You are solely responsible for the accuracy of any information you enter, for securing access to your own device, and for maintaining your own backups if desired. CircleRootTech is not responsible for data lost due to device loss, damage, deletion, or app uninstallation. See our Privacy Policy for details on what limited information leaves your device and why.

5. Not a medical, legal, or emergency service

Alongside is not a substitute for professional medical, legal, or financial advice, diagnosis, or treatment, and is not an emergency service. This is described in full in our Medical & Legal Disclaimer, which is incorporated into these Terms by reference. You agree to review that disclaimer and to use the Service subject to it. In summary:

6. Artificial intelligence features

The "I Noticed Something" feature uses a third-party artificial intelligence service (currently, an Anthropic Claude model) to generate responses based on information you provide. You acknowledge and agree that: (a) AI-generated content may be inaccurate, incomplete, or inapplicable to your situation; (b) we do not independently verify AI-generated responses before they are shown to you; (c) information you submit to this feature is transmitted to our infrastructure and to our AI service provider for the purpose of generating a response, as described in our Privacy Policy; and (d) you will not rely on AI-generated content as a substitute for professional medical judgment.

7. Acceptable use

You agree not to:

8. Intellectual property

The Service, including its design, text, graphics, logos (including the Alongside mark), and underlying software, is owned by CircleRootTech LLC or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own personal, non-commercial caregiving purposes, subject to these Terms. All rights not expressly granted are reserved.

9. Third-party services

The Service relies on third-party infrastructure and services, including cloud hosting and database providers and an AI service provider, to operate certain features. We are not responsible for the availability, accuracy, or performance of those third-party services, and your use of features that depend on them is subject to those providers' own terms and reliability.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT IN THE SERVICE, INCLUDING AI-GENERATED CONTENT.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIRCLEROOTTECH LLC, ITS OWNERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF LIFE, PERSONAL INJURY, LOSS OF DATA, LOSS OF PROFITS, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, ANY CONTENT OBTAINED THROUGH THE SERVICE (INCLUDING AI-GENERATED CONTENT), OR ANY MEDICAL, LEGAL, OR FINANCIAL DECISION MADE IN RELIANCE ON THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, TO USE THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless CircleRootTech LLC and its owners, employees, and contractors from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) any medical, legal, or financial decision made by you or on your behalf in connection with your use of the Service; or (d) your violation of any right of a third party.

13. Assumption of risk

You acknowledge that caregiving decisions carry inherent risk regardless of what information or tools are used to inform them, and that you voluntarily assume all risk associated with using the Service, including risk arising from incomplete, inaccurate, or AI-generated content.

14. Changes to the Service and these Terms

We may modify, suspend, or discontinue the Service, or any part of it, at any time. We may also update these Terms from time to time; if we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Dispute resolution and arbitration

Please read this section carefully — it affects your legal rights. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration, rather than in court, except that either party may bring an individual claim in small claims court. You and CircleRootTech each waive any right to a jury trial and to participate in a class action, class arbitration, or representative action. Arbitration will be conducted in accordance with the rules of a recognized arbitration provider: American Arbitration Association, and will take place in Salt Lake County, UT ,unless you and CircleRootTech agree otherwise. This section survives termination of these Terms.

16. Governing law

These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws principles, except to the extent preempted by federal law governing arbitration.

17. Termination

You may stop using the Service at any time, including by deleting the app and using the in-app "Delete All Data" option. We may suspend or terminate your access to the Service at any time, with or without cause. Sections of these Terms that by their nature should survive termination (including Sections 5, 6, 10, 11, 12, 13, 15, and 16) will survive.

18. Severability

If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

19. Entire agreement

These Terms, together with our Privacy Policy and Medical & Legal Disclaimer, constitute the entire agreement between you and CircleRootTech regarding the Service and supersede any prior agreements.
